Biography

An attorney with an eye for getting his clients the best deal. Usman Qureshi represents and advises healthcare professionals, real estate investors, and other corporate clients on various business transactions including, but not limited to, entity formation, corporate governance, mergers and acquisitions, reorganizations, liquidations, and contract negotiations. He has successfully assisted clients with all aspects of setting up their businesses and ensuring those businesses are protected. Moreover, he has assisted many clients through difficult times in corporate reorganizations and buying and selling of companies. While in law school, Usman completed an externship for the Collin County District Attorney’s Office where he sharpened his oral advocacy skills at bench trials and hearings on motions to suppress.

An outspoken advocate and community leader. Usman takes seriously his duty to educate the public about his profession and their legal rights, and to give back his talents to the community. He has led seminars and workshops for health care professionals on the topics of estate planning and asset protection. Additionally, Usman was invited as a guest speaker at the UTD’s Leadership Development & Career Fair to give career direction to the students by sharing his experience in law school and now as an attorney. At the event, he explained how to prepare for law school and what to expect from the law school entrance process. Usman has also devoted his time to the CAIR-Texas (Council on Islamic-American Relations) program. (learn more) At CAIR, Usman worked closely with the CAIR Staff Attorney on resolving workplace religious discrimination by interviewing complainants and documenting incidents of religious discrimination at the workplace. He also wrote legal letters, drafted complaints and legal briefs, and assisted in dispute resolution and EEOC mediation.

Representative Client Matters

Corporate and Real Estate

  • Providing counsel to physicians and dentists in setting up their practices and reviewing existing corporate documents to ensure they are properly protected
  • Providing counsel to clients with multi-million dollar real estate transactions, including but not limited to: hospitals, shopping centers and clinics
  • Representation of corporate companies in the DFW area with substantial real estate holdings including hotels and/or service industry properties
  • Representation of numerous start-ups in enterprise formation, drafting corporate/partnership agreements and providing advice on day-to-day transactional issues
  • Representation of retail business owners in reviewing contracts, including ensuring lease documents are properly drafted and executed

Health Care

  • Advising health care providers on transactions involving operational matters, liability exposure, federal and state health care regulatory compliance involving the “Stark Law” (physician self-referral), federal and state Anti-Kickback Statutes, and ACO formation/integration issues
  • Representation of health care entities, including management service organizations, clinical research companies, ambulatory surgery centers, urgent care clinics and medical and dental practices with merger and acquisition transactions
  • Ongoing representation of health care providers and medical groups with negotiation and preparation of employment agreements, confidentiality agreements, management and consulting agreements, and various professional and management services agreements
